Representative Matters

• Advised Vector Green on the acquisition of over 300 acres of land in Gujarat for setting up solar power projects. The scope of work included detailed due diligence of land bank, advisory on requisite approvals and intimation required for bonafide industrial use and purchase of the lands, conversion into non-agricultural use, and compliances related thereto with the revenue authority.
• Advised Azure Group, a well-renowned solar plant developer establishing multiple projects at different locations across Northern India. The Firm assisted in conducting comprehensive due diligence of lands aggregating to over 10,000 acres for establishment of solar power plant in Northern India.
• Assisted ATS Infrastructure Limited (ATS), in respect of a due diligence exercise and joint development agreement with Shiwalik Site Planners Private Limited for development of a group housing project in Mohali and with Hasta Infrastructure Private Limited for development of a group housing colony in Gurgaon, Haryana.
• Advised Baxter International Inc., in the acquisition of Claris Injectables Limited from Claris Lifesciences Limited, a listed Indian company (listed on BSE Limited). The team rendered complete support and advisory on land due diligence, advisory on local land matters, and advising and assisting in implementing complex and large-scale rehabilitation measures required on the title, approvals, and zoning norms.
• Advised Blackstone Real Estate Partners in their real estate transaction worth over USD 250 Million involving comprehensive land due diligence of the properties at Gurgaon, Pune, Jalandhar, Ludhiana, Mohali, Hadapsar, Noida and Ghaziabad encompassing issues like title, permissive usage as per the zoning regulations, encumbrances, compliance of local laws and enactments towards the proposed development at the properties.
• Advising DLF, the largest real estate company in India on all real estate matters.
• Acted for and advised Lehman Brothers Real Estate Partners in a large private equity transaction pertaining to investment in an affiliate of Unitech Limited which was engaged in a real estate project in Mumbai. The total deal value of this transaction is approximately USD 200 Million.
• Advised Mahindra Lifespace Developers Limited (MLDL), in respect of their joint venture with IREO in setting up of a group housing project in Gurgaon on the aspects of title due diligence, transaction structuring and documentation.
• Advised Mapletree Investments Private Limited with their proposed transaction with the Embassy group for investment in an IT/ITES SEZ project. The work entailed a comprehensive property due diligence on 78 acres of land in Bengaluru, Karnataka encompassing title verification, ascertaining the land use, SEZ approvals/ permissions required, structuring the investment model and drafting of relevant transaction documents.
• Assisted Monsanto Holdings Private Limited in acquisition of lands admeasuring 4.575 acres at Sonipat, Haryana.
• Acted as sole counsel to National Buildings Construction Corporation Limited (NBCC) in a Joint Venture Project with Mahavir Hanuman Group involving the acquisition and development of 50 acres of land on the Delhi – Baghpat Road for development of a ‘mid-income township project’.
• Assisted National Hydroelectric Power Corporation Limited, in comprehensive documentary due diligence of lands admeasuring 780 acres (approx) spread over various jurisdictions on which the clients hydroelectric power plants are developed/ under development, as part of the requirement emanating from the agreement/ understanding between National Hydroelectric Power Corporation Limited, IDBI Trusteeship Services Ltd and other lending entities.
• Advised Soma New Towns Private Limited in relation to acquisition of lands admeasuring 300 acres approximately at Tuticorin, Tamil Nadu for setting up of an integrated township.
