• Advised Shakti Sustainable Energy Foundation and Energy Efficiency Services Limited on developing project structure/risk matrix and standard projects documents (including payment security documents) for implementing and financing various types of energy efficiency projects under both shared savings and guaranteed savings models.*
• Advised Energy Efficiency Services Limited, on drafting a comprehensive model implementation agreement (with built-in payment security mechanism) to be executed by EESL with various municipal bodies for retrofitting of streetlights.*
• Advised Energy Efficiency Services Limited on drafting and finalising an Energy Performance Agreement with Karnataka Renewable Energy Development Agency and the relevant electricity distribution licensees in Karnataka for installation of streetlight energy saver technology/Smart Energy Saver Units in Bangalore and Mysore.*
• Advised Energy Efficiency Services Limited in relation to finalising of an Energy Performance Agreement with BESCOM for implementing agricultural demand side management project through replacement of agricultural pump sets with energy efficient pump sets.*
• Advised Energy Efficiency Services Limited in relation to finalising of an Implementation Agreement with Municipal Corporation of Bhatinda for implementing a demand side management project through replacement of pump sets with energy efficient pump sets water treatment plants operated by Municipal Corporation of Bhatinda.*
• Advised Technergy ESCO, one of the leading ESCO companies engaged in developing and implementing various energy efficiency projects in collaboration with foreign technology providers, including Advised on regulatory and legal approvals, structuring the transaction, and drafting of diverse documents.*
• Advised CleanMax on regulatory aspects and structuring issues involved in setting up co-generation captive power units for commercial buildings in Bombay, including drafting standard PPA.*
• Advised World Bank and SIDBI in relation to developing standard documents (including a master guarantee agreement and energy services agreement) for a Partial Risk Sharing Facility Project for facilitating lending by banks and financial institution to ESCOs.*
• Advised Climate Change Capital UK on the CFL Lighting Projects along with the Bureau of Energy Efficiency, under the ‘Bachat Lamp Yojna’ announced by the Government of India, principally in Karnataka, Andhra Pradesh and Tamil Nadu, including Advised on structuring the respective transactions, drafting, negotiating and finalising relevant transaction documents, arrangements/definitive supply agreements with CFL manufacturers/suppliers, etc.*
• Advised Bureau of Energy Efficiency for Bachat Lamp Yojana (a clean development mechanism initiative by Bureau of Energy Efficiency, Ministry of Power on the procedures and policies formed for implementation of clean development mechanism projects under the United Nations Framework of Climate Change Convention and the Kyoto Protocol and drafting, negotiating and finalizing the Project related documents, and providing advice on time to time basis on various other related aspects for the purpose of implementation of the Project.
• Advised Energy Efficiency Services Limited on the procedures and policies for the implementation of street lightning projects in various municipalities of West Bengal and drafting, negotiating and finalizing the related tripartite agreement.
• Advised Tata Power in relation to its bid (pursuant to a competitive bidding process) to act as a distribution franchisee of Maharashtra State Electricity Development Corporation Limited for distribution of electricity in the Nagpur and Aurangabad distribution circles*
• Advised Gujarat Electricity Regulatory Commission in formulation of its Distribution and Transmission licenses, MYT Regulations, Consumer Grievance regulations and Open Access Regulations.
• Advised Japan Bank for International Cooperation (JBIC) in multiple matters relating to regulatory issues relating to power generation, distribution and transmission in several Indian states.
• Advised and represented Tata Power Delhi Distribution Limited before the Hon’ble Appellate Tribunal for enforcement of the Tribunal’s order pertaining to periodic issuance of Power Purchase Adjustment Cost and obtaining interim relief in the same.
• Advised and represented Tata Power Delhi Distribution Limited in relation to compliance of renewable purchase obligations before the DERC
• Advised and represented Tata Power Delhi Distribution Limited before the Appellate Tribunal in relation to the annual tariff determined by DERC from FY 2013- 14 to 2015-16 application.
• Advised and represented Tata Power Delhi Distribution Limited on a series of regulatory matters including interpretation and application of Net Metering Regulations, Renewable Purchase Obligations, Supply Code Regulations, MYT Regulations, and income from business other than licensed business, National Tariff Policy, National Electricity Policy, Regulatory Assets, powers and scope of the CAG.
• Advised and represented Tata Power Delhi Distribution Limited before the Appellate Tribunal against the determination of tariff for solar PV plants.
• Advised and represented Tata Power Delhi Distribution Limited before the CERC for tariff determination matters.
• Advised and represented the Delhi Electricity Regulatory Commission on a series of tariff appeals filed by distribution licensees (BSES Rajdhani and Yamuna Power Limited as well as North Delhi Power Limited) before the Hon’ble Appellate Tribunal for Electricity challenging the tariff arrived at and the methodology for arriving at the same from FY 2007-08 to 2009-10 including the MYT order of 2008-11.
• Advised Indian Renewable Energy Development Agency Limited, in relation to the financial assistance in the form of rupee loan facility to Gensol EV Lease Private Limited, in connection with the purchase of a minimum of 3800 commercial electric vehicles for cab services to be given on lease to Blu-Smart Mobility Private Limited/ Blu-Smart Mobility Tech Private Limited.
• Advised Axis Bank Limited and GuarantCo Ltd, in relation to financing aggregating to INR 100 Crores made available to Everest Fleet Private Limited, for the purpose of financing the procurement of new 4 Wheel Electric Vehicles manufactured by an original equipment manufacturer.
• Advised OLA Cell Technologies Private Limited, in relation to the financial assistance availed from State Bank Of India, in connection with 5 GWh (gross 5.9 GWh) green-field Gigafactory Project for manufacturing Advanced Chemistry Cell (ACC) battery for electrical vehicles.
• Advised Magenta EV Solutions Private Limited, in relation to its capital raise from bp Technology Ventures and Morgan Stanley.
• Advised Accurant International, LLC, on its investment in Altigreen Propulsion Labs Private Limited, which is in the business of manufacturing, sales, marketing and service of electric vehicles and their components.
• Advised PTV International Ventures Limited, in relation to its investment in Log9 Materials Scientific Private Limited, a manufacturer of batteries for electric vehicles.
• Advised Engie in relation to proposed equity investment in Lithium Technologies, an e-vehicle based mobility company.
• Advised Hyderabad Metro Rail Limited, in drafting license agreements for electric vehicle charging facilities and electric vehicle battery swapping facilities.
• Advised Amplus in relation to regulatory framework for setting up an app-based e- vehicle platform/e-vehicle shuttle service.
• Advised SB Energy in relation to regulatory framework for setting up an app-based e- vehicle platform/e-vehicle shuttle service.*
• Advised ALLT Mobility in relation to various regulatory issues in relation to owning and leasing e-vehicle to clients.
• Represented the founder and MD of EV manufacturer Ampere Vehicles (Ampere), in the sale of her stake in the company. Advised Pravaig, an EV car manufacturer in relation to their entire corporate and business structuring.
• Advised IREDA and Blu-Smart Mobility, in relation to the financing of the acquisition of 3000 commercial EV vehicles to be operated by Blu-Smart Mobility.
• Acted for and advised Bank of Baroda in connection with funding and financial closure for the project of manufacturing electric 2 (two) wheeler vehicles being setup by Ola Electric Technologies Private Limited.
• Advised Green Growth Equity Fund in its proposed bid submission agreements for operating private stage carriage services (using electric buses) in Delhi NCR.
• Advised NITI Aayog in relation to drafting and review of model concession documents – agreements, requests for qualification and requests for proposal, review of concession documents received from ministries/ government departments for PPP projects, including relating to EVs.
• Advised Planning Commission in relation to the vetting of two long-term procurement-cum-maintenance agreements for the supply of electric and diesel-electric.
• Advised Moser Baer Clean Energy Limited in relation to setting up of projects under the Gujarat Solar Policy including EPC contracts, technical assistance and financial investments.
• Advised Indian Renewable Energy Development Agency Limited (IREDA), in connection with the proposed financial assistance aggregating up to INR 7410.00 Million to Morjar Windfarm Development Private Limited, a step-down subsidiary of Continuum Green Energy Limited, Singapore, for part financing the estimated cost of setting up and implementing a 148.50 MW wind power plant at Kutch, Gujarat, India.
• Advised RBL Bank Limited (RBL), in connection with the proposed financial assistance aggregating up to INR 240.00 Million to Amp Energy Distributed Generation One Private Limited, an Amp Energy group company that develops flexible and clean energy infrastructure in India. The said facility has been sanctioned by RBL for part financing the estimated cost of setting up and implementing a 10.0 MWp capacity roof-top captive solar power project in the premises of Skoda Auto Volkswagen India Private Limited located at Pune district in the State of Maharashtra.
• Advised consortium of NIIF Infrastructure Finance Limited and India Infradebt Limited in connection with the proposed additional takeout and top-up financial assistance aggregating up to INR 1790.00 Million to Amplus KN Solar Private Limited (“Borrower”), a subsidiary of Amplus Energy Solutions Pte. Ltd, Singapore, in relation to Borrower’s commissioned175 MW (DC) solar power project at Hulkoti and Kurthkoti Village, Gadag District in the state of Karnataka, India.
• Advised Hyderabad Metro Rail Corporation Limited in relation to the bidding process for selection of Concessionaire for implementation of the Hyderabad Metro Rail (MRTS) Project on PPP mode. Assisted in the drafting, negotiation and finalisation of the Concession Agreement in respect of the Project. Continue to assist the Authority on day-to-day basis on various project management related aspects. As part of the scope of work, reviewed and provided comments on the O&M agreement, the rolling stock supply contract for the Project proposed to be entered into by the Concessionaire.
• Advised Jaipur Metro Rail Corporation Limited in relation to the bidding process for selection of Concessionaire for implementation of the Jaipur Metro Rail Project on PPP mode.
• Advised Ministry of Railways on- its proposed procurement-cum-maintenance agreement with a company for setting up of a factory to manufacture rail cars at Kanchrapara in West Bengal, for supply on the basis of a long term procurement-cum-maintenance contract. Scope of work included drafting of the Procurement cum Maintenance Agreement, including participation in the bid process, advisory services, including review of the RFP.
• Advised on the proposed procurement-cum-maintenance agreement for electric locomotives and for setting up of the factory at Madhepura on Build, Own and Operate basis. Scope of work included vetting of the draft Procurement cum Maintenance Agreement, including participation in the bid process, advisory services, including review of the RFP.
