Prior to joining Luthra & Luthra Law Offices India, Rohit worked as a partner with Bharucha & Partners and was trained in the firms like AZB & Partners, IDFC Limited, and ASAR ‒ Al Ruwayeh and Partners, a Tier-I Kuwaiti law firm.  

Rohit’s practice focuses on banking and finance. He has handled several complex domestic and cross-border transactions ranging from asset-backed finance (including both aviation and maritime finance), external commercial borrowings, corporate finance, project finance, debenture issuances, and derivatives to securitisation. He regularly advises both corporate debtors, financial creditors, and resolution applicants, in restructuring matters, including on matters, under the Insolvency and Bankruptcy Code, 2016. In addition to banking and finance matters, he also advises on private equity investments in infrastructure, information and technology, and financial services sectors.

Experience Statement

Debentures Issuances

• Advised Edelweiss Group entities in restructuring debts of Kohinoor CTNL Infrastructure Company Private Limited and subscription to secured, rated, and listed non-convertible debentures aggregating to INR 4.75 Billion (with a green shoe option of INR 1.75 Billion) issued by Kohinoor CTNL Infrastructure Company Private Limited as per the resolution plan approved by the National Company Law Tribunal.
• Advised Asian Development Bank in subscription to secured and listed non-convertible debentures aggregating to INR 10 Billion issued by a micro finance institution.

Structured Finance

• Advised Edelweiss Group entities in issuance of non-principle protected debentures of USD 62.5 Million to an affiliate of a foreign bank. We also advised on subsequent redemption of these documents.
• Advised a non-banking financial company in acquisition of non-performing asset of INR 4,000 Crores.

Restructuring and Insolvency

• Advised Edelweiss Asset Reconstruction Company Limited on restructuring outstanding financial debt of approximately INR 88 Billion of Adhunik Power and Natural Resources Limited.
• Advised an Asset Reconstruction Company in acquisition and restructuring of loans of USD 29 Million.

Project Finance

• Advised Safeway Concessions (part of the Macquarie Group Limited and comprising 9 Indian concessionaires) with respect to refinancing financial facilities of approximately INR 60 Billion from a consortium led by ICICI Bank availed for ToT road project awarded by NHAI.
• Advised an Indian wholly owned subsidiary of a US company in financing of INR 1.85 Billion for construction of a Greenfield solar project in India.

Real Estate Finance

• Advised an Indian real estate company operating a commercial project in a special economic zone at Gurugram (Gurgaon), Haryana in issuing debentures of USD 70 Million to foreign portfolio investors.
• Advised an Indian financial conglomerate in subscription of debentures of INR 2.25 Billion of a company implementing commercial cum residential registered RERA Project at Mumbai.

Aviation Finance

• Advised an American aviation service provider in leases of engines to national carrier of the state of Kuwait.
• Advised Jet Airways in obtaining finance of approximately 250 Million Pounds for purchasing 35 aircrafts.
